Consultant Fashion Rep Sign-Up

Brand: Kween Bella’s Closet Boutique — 1030 Edwards St. Suite 105, Rock Hill, SC 29732

Program Purpose: Empower independent Consultants (“Reps”) to promote and sell boutique products, drive foot traffic and online orders, and earn commissions/bonuses under this Agreement.

1. Role & Relationship

• Rep is an independent contractor; not an employee, agent, or franchisee.
• Rep is responsible for taxes, permits, and business expenses; a W-9 may be required before payouts.
• No authority to bind the boutique, make warranties, or collect payments unless authorized in writing.

2. Eligibility & Enrollment

• Must be 18+ and legally able to work as an independent contractor in the U.S.
• Rep agrees to honest, ethical marketing consistent with brand values.
• On acceptance, Rep receives a unique referral link or code for tracking sales.

3. Materials & Tools

• Digital catalogs, product images, and marketing materials are purchased by the Rep and are not provided for free.
• Use current, accurate product info and follow brand/IP guidelines.

4. Pricing, Discounts & Sales Channels

• Pricing policy: For boutique-fulfilled merchandise, Reps may not sell above or below the published set price.
• Rep-owned inventory: Reps may discount items they purchased and sell directly, but never price above the published set price.
• Permitted channels: social media, website referrals, in-person events/pop-ups, personal networks. Territories are non-exclusive.

5. Orders, Fulfillment & Returns

• Online orders should use the Rep’s tracking method (link/code) on the boutique site.
• Boutique policies apply to boutique-fulfilled orders (shipping, returns, customer service).
• For Rep-owned sales, Rep is solely responsible for delivery and legal compliance.

6. Commission, Bonuses & Discounts

• Base Commission: 30% of qualifying sales attributed to the Rep’s code/link.
• Personal Shopping Discount: 25% off qualifying personal purchases per program rules.
• Recruitment Bonus: $35 Bella Buck for each new Consultant the Rep recruits who is accepted and activates.
• Possible Upline Override: If offered, details will be communicated in the Rep portal or an addendum.
• Commissions are calculated monthly on settled, non-refunded orders.

7. Active Status & Commission Payments

• To remain Active, Rep must make at least one (1) sale every 90 days.
• If no sale within 90 days, status becomes Inactive.
• If a sale is made within 180 days of becoming inactive, status automatically reactivates.
• If inactive beyond 180 days, the Rep must reapply and sign up again.
• Commission Payments: Paid monthly via Zelle; Rep must maintain an active bank account and keep payout details accurate.

8. Conduct & Brand Standards

• Represent the brand with honesty and respect; no harassment or deceptive practices.
• Discount/promo codes must be used as intended; abuse may result in termination.

9. Confidentiality & Data

• Treat non-public information (pricing strategies, customer lists, internal materials) as confidential.
• Comply with applicable privacy laws when handling any customer data.

10. IP & Brand Usage

• Trademarks, logos, and brand assets are owned by the boutique and licensed for limited use.
• Do not alter logos or create confusingly similar marks; do not register domains/handles implying brand ownership.

11. Term, Suspension & Termination

• Either party may terminate at any time with notice; violations may lead to immediate suspension/termination.
• Upon termination, program rights cease; unpaid earned commissions are processed per payout timelines, net of refunds/chargebacks.

12. Liability & Indemnity

• Rep participates at their own risk and will indemnify the boutique for claims arising from the Rep’s conduct or Rep-owned sales.
• To the maximum extent permitted by law, the boutique’s liability is limited to amounts paid to the Rep in the prior 3 months.

13. Updates

• Program terms may be updated with notice (email/portal). Continued participation after notice constitutes acceptance.
